Position Overview:
We are thrilled to bring on our first Contracts Manager. In this role, reporting to the General Counsel, you will play a key role in supporting the legal function as the company continues its dynamic growth, both organic and inorganic. We are looking for an experienced contracts professional who thrives in a fast-paced, matrixed environment, with the ability to successfully manage multiple simultaneous transactions with internal business clients in the SaaS and professional services space.
Key Responsibilities:
- Under supervision of the General Counsel, works closely with sales and marketing teams across our business units to draft, review, negotiate, and finalize sales contracts and occasional vendor contracts.
- Develops negotiation strategies, conducts negotiations with customers, evaluates risk exposure, and makes recommendations to business clients, including senior management.
- Prioritize and execute multiple simultaneous demands from a variety of business clients and contract counterparties, including quasi-governmental entities such as universities and hospitals.
- Review and revise new and existing contract forms, including but not limited to procurement agreements, sales contracts, software and SaaS agreements, terms and conditions, master service agreements, and non-disclosure agreements.
- With support from the IT Team, lead the implementation of the Company’s first CLM system and become the “go-to” expert for the system.
Requirements:
- At least 5 years of experience negotiating contracts for the sales and or procurement of software licenses, SaaS, and professional services.
- Four-year college degree required, Master of Business Administration or similar advanced degree preferred.
- Proven ability to successfully manage and complete work across a variety of disparate business units.
- Highly refined project management abilities, organizational skills, and attention to detail.
- Proven ability to work independently and exercise sound judgment within proscribed guidelines.
- Familiarity with at least one CLM platform, experience with IronClad is a plus!
- Working knowledge of privacy law (primarily US) in the context of technology contracting.
- Must project a positive, confident, and professional image.
- Demonstrated rapport builder, with the ability to work collaboratively with different personality types successfully.
- Outstanding written and oral communication skills, with the ability to clearly communicate ideas to internal and external audiences.
